1. About the Platform — What It Is and What It Is Not

TrueTrend AI is a research, data analytics, and educational technology platform that aggregates publicly available data from recognised Indian stock exchanges and authorised data vendors, applies proprietary computational and machine-learning methodologies, and presents the resulting indicators, scores, dashboards, and analytical tools to subscribed users. The Platform is intended to help users improve their understanding of market data and analytical techniques so they can form their own independent opinions.

TrueTrend AI is NOT, and does not hold itself out as:

• A SEBI-registered Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013;
• A SEBI-registered Research Analyst under the SEBI (Research Analysts) Regulations, 2014;
• A SEBI-registered Portfolio Manager, Stock Broker, or any other SEBI-regulated intermediary;
• A provider of "tips", buy/sell calls, individualised trade recommendations, or any service that creates a personalised investment plan for you;
• A guarantor or warrantor of any market outcome.

No content on the Platform constitutes investment advice, a recommendation, a solicitation, or an inducement to buy, sell, hold, or deal in any security or derivative. Full details are set out in the Disclaimer & Risk Disclosure, which forms an integral part of these Terms.

2. Eligibility

You may register for and use the Platform only if you:

• Are at least 18 (eighteen) years of age;
• Are competent to enter into a binding contract under the Indian Contract Act, 1872, and are not disqualified by any applicable law from doing so;
• Are not a person to whom the supply of analytics or financial data services is prohibited under Indian law (including any person whose SEBI registration has been suspended or cancelled, or who is barred from accessing securities markets);
• Provide accurate, complete, and current registration information.

The Platform is currently intended for users resident in India. If you access the Platform from outside India, you do so on your own initiative and are responsible for compliance with the laws of your jurisdiction.

3. Account Registration & Security

• You must register for a single account using a valid email address and (where applicable) a verified phone number.
• You are solely responsible for maintaining the confidentiality of your password and for all activities under your account.
• You agree to notify us immediately of any unauthorised use of your account or any other breach of security.
• You shall not share your account with any other person, nor purchase a subscription for resale or for use by a third party.
• We reserve the right to suspend or terminate any account that we, in our reasonable judgement, believe is being used in breach of these Terms or applicable law.

4. Subscriptions & Pricing

• Certain features of the Platform are available only under a paid subscription plan (e.g. Standard, Pro, Enterprise). The features included in each plan and the applicable price are described on the Pricing page.
• All fees are quoted in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST), unless expressly stated otherwise.
• Payments are processed through one or more third-party payment gateways. Your use of those gateways is also subject to their respective terms and privacy policies, which are made available to you at the point of payment.
• Subscriptions activate immediately upon successful payment and remain active for the period purchased.
• We may revise pricing, plan composition, or feature inclusions at any time. Changes will not affect the price of an already-active subscription term but will apply on renewal.

5. Acceptable Use

You agree that you shall not:

• Use the Platform for any unlawful purpose or in violation of any applicable Indian law or SEBI regulation;
• Misrepresent your identity, impersonate another person, or provide false information;
• Resell, redistribute, rebroadcast, screen-scrape, mirror, copy, or otherwise commercially exploit any data, analytics, signals, scores, charts, dashboards, or any other content from the Platform without our express prior written consent;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, model weights, or proprietary algorithms underlying the Platform;
• Use any automated mechanism (bot, scraper, crawler, headless browser, API replay) to access the Platform other than through documented API endpoints we expressly authorise;
• Interfere with, disrupt, or attempt to gain unauthorised access to the Platform, our servers, or any associated network;
• Upload or transmit any content that is unlawful, defamatory, obscene, infringing, or harmful;
• Use the Platform in a manner that would, in our reasonable opinion, expose us or any other user to legal, regulatory, security, or reputational risk.

Any breach of this Section may result in immediate suspension or termination of your account, forfeiture of any paid subscription fees, and may give rise to civil or criminal liability under applicable law.

6. Intellectual Property

All intellectual property in the Platform — including but not limited to all source code, model architectures, trained model weights, scoring methodologies, indicator names, dashboard designs, copy, trademarks (including "TrueTrend", "TrueTrend AI", the TrueTrend logomark, and all associated brand assets), graphics, and documentation — is and shall remain the exclusive property of the Company and/or its licensors.

Subject to your continued compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your own personal, non-commercial use. No other right or licence is granted, express or implied.

Market data shown on the Platform originates from recognised stock exchanges and licensed data vendors and remains the property of those originators. The Company does not claim ownership of underlying market data.

7. User-Generated Content

The Platform allows you to post messages and notes (for example, in support threads, in the trade journal, and in the in-platform discussion board). You retain ownership of any content you create, but by submitting such content you grant the Company a worldwide, royalty-free, non-exclusive, sub-licensable licence to host, store, reproduce, and display that content solely for the purpose of operating the Platform.

You represent and warrant that any content you submit is your own and does not infringe any third-party rights, is not unlawful, defamatory, obscene, abusive, or misleading, and does not constitute investment advice or any activity requiring SEBI registration. We reserve the right to remove or moderate any user-generated content at our sole discretion.

8. Third-Party Services & Data

The Platform interacts with or relies on certain third-party services and data sources, including (without limitation) payment gateways, OAuth providers, transactional email services, market data feeds, and cloud infrastructure. We are not responsible for any errors, outages, omissions, or losses caused by such third parties. Your use of those services may be subject to their own terms and policies.

9. Risk Acknowledgement & No Advice

You expressly acknowledge and agree that:

• Trading and investing in securities, including derivatives, is subject to market risk and you may lose part or all of your capital;
• Past performance, historical accuracy of any signal or indicator, and backtested results are not indicative of, and do not guarantee, future results;
• Nothing on the Platform is to be construed as personalised investment advice, a recommendation, a stock tip, or a solicitation;
• You will independently verify any information you choose to act upon and, where appropriate, consult a SEBI-registered Investment Adviser or Research Analyst before taking any investment decision;
• You bear sole responsibility for your trading and investment decisions; the Company does not execute trades on your behalf and is not a party to any transaction you may enter into based on or in connection with information obtained from the Platform.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, the Company disclaims all warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, and uninterrupted availability. The Company does not warrant that the Platform will be free of errors, defects, viruses, or other harmful components, or that any defect will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its directors, officers, employees, agents, affiliates, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of capital, loss of trading opportunity, loss of goodwill, loss of data, or business interruption, arising out of or in connection with your access to or use of (or inability to access or use) the Platform, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the aggregate liability of the Company arising out of or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount of subscription fees paid by you to the Company in the 12 (twelve) months preceding the event giving rise to the claim, or INR 1,000 (Rupees One Thousand only), whichever is higher.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (i) your breach of these Terms, the Privacy Policy, the Disclaimer, or the Refund Policy; (ii) your violation of any applicable law or third-party right; (iii) any content you submit to the Platform; or (iv) any investment or trading decision you make on the basis of, or in connection with, information obtained from the Platform.

13. Suspension & Termination

We may suspend or terminate your account, with or without notice, if (a) you breach these Terms or any other policy; (b) we suspect fraudulent, abusive, or unlawful activity; (c) we are required to do so by law, court order, or regulatory direction; or (d) we cease to operate the Platform in whole or in part.

You may terminate your account at any time by emailing us at support@truetrend.cloud. Termination does not affect rights or obligations that, by their nature, are intended to survive (including the disclaimer of warranties, limitation of liability, indemnity, and governing-law clauses).

14. Modification of These Terms

We may amend these Terms from time to time. The "Last Updated" date at the top of this page reflects when these Terms were last revised. Material changes will be notified to you via email or by in-app notice. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms you must stop using the Platform.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Subject to Section 16 below, the courts in Muzaffarpur, Bihar shall have exclusive jurisdiction in respect of any dispute, claim, or proceeding arising out of or in connection with these Terms or the Platform.

16. Arbitration (Optional Tier)

At the Company's option, any dispute, controversy, or claim arising out of or in connection with these Terms may be referred to, and finally resolved by, arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by the Company. The seat and venue of arbitration shall be Muzaffarpur, Bihar. The language of arbitration shall be English. The arbitral award shall be final and binding on the parties.

17. Force Majeure

The Company shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond the Company's reasonable control, including without limitation acts of God, war, riots, government action, pandemic, internet failure, exchange outage, data-vendor failure, or third-party hosting failure.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, the Disclaimer & Risk Disclosure, the Refund & Cancellation Policy, and any plan-specific terms communicated at the point of subscription, constitute the entire agreement between you and the Company in respect of the Platform, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
